Your agreement with us
By using the Digi Soft Rank website, requesting a proposal from us, or hiring us for any service, you agree to the terms on this page. If you do not agree, please do not use the site or engage us for work.
In these terms, “we”, “us”, and “our” mean Digi Soft Rank, a digital marketing and website development agency based in Marina Moon Tower, Shop No. 7, Dubai, UAE. The words “you” and “your” mean the person or business using the site or hiring us.
These general terms sit alongside any signed proposal, statement of work, or agreement we have with you as a client. If there is ever a conflict between this page and a signed agreement, the signed agreement wins.
The services we offer
We offer a range of digital marketing and web services. These include search engine optimisation, paid media, social media management, email marketing, website design, website development, and related services. The exact scope of any engagement is agreed in writing before work begins, in the form of a proposal or a statement of work.
We aim to deliver work of a high professional standard. Digital marketing depends on many factors that are outside our control, including changes to search engine algorithms, advertising platform policies, competitor activity, and your own business decisions. Because of this, we cannot guarantee specific rankings, traffic numbers, conversion rates, or revenue outcomes unless we have agreed something specific in writing.
What we expect from you
Great work is a two-way street. To do our best work for you, we need your cooperation. Specifically, we ask that you:
- Give us honest, accurate information about your business, your customers, and your goals.
- Provide timely access to any accounts, tools, or platforms we need, such as your website admin, Google Analytics, Search Console, and advertising accounts.
- Review our work and provide feedback within a reasonable time so we do not have to pause.
- Make sure you have the right to use any content, images, logos, or brand assets you share with us.
- Pay our invoices on time.
- Treat our team with the same courtesy and professionalism we treat you with.
If delays or missing information from your side prevent us from delivering on schedule, the timeline shifts, and we may need to re-plan the work.
Fees, invoices, and payments
Our fees are set out in the proposal or agreement we send you. Fees may be a fixed project fee, a monthly retainer, an hourly rate, or a combination. We will always be clear about what you are paying for.
Unless we agree otherwise in writing, our standard payment terms are as follows.
- Monthly retainers are invoiced at the start of each month and are due within seven days.
- Project work usually requires a deposit before we begin, with the remainder invoiced at agreed milestones.
- Any third-party costs such as ad spend, licences, stock imagery, or tools are billed at cost unless included in our fee.
- Invoices not paid within 14 days may result in work being paused until payment is received.
All fees are exclusive of applicable VAT or other taxes, which will be added where required by law.
Intellectual property and ownership
We respect intellectual property, and we ask you to do the same.
Your content stays yours. Anything you provide to us, including your brand assets, copy, images, and data, remains your property.
Our work becomes yours once paid for. The final deliverables that we produce specifically for your project, such as website designs, page templates, campaign creative, and copy, transfer to you once we have received full payment for that work.
Our tools, systems, and methods stay ours. We may use internal frameworks, checklists, code libraries, templates, and playbooks that we have built up over years of practice. These remain our property and we may reuse them on other projects, in a way that does not disclose your confidential information.
Portfolio rights. Unless you ask us not to, we may include the work we have done for you in our portfolio and case studies, and reference your brand in a factual way when talking about our services.
Confidentiality
We treat information you share with us as confidential unless it is already public. We will not share your commercial information with anyone outside our team without your permission, except where required by law. We also expect the same courtesy from you regarding our internal methods, pricing, and any proprietary tools we share with you.
Cancellation, pauses, and refunds
Life happens. If you need to cancel, pause, or reduce a project or a monthly retainer, please let us know as early as possible so we can plan around it.
For monthly retainers, we ask for 30 days written notice to cancel or pause. Fees for the current billing period are non-refundable, but you keep the benefit of any work delivered during that period.
For project work, we bill for the work completed up to the point of cancellation. Any deposit paid may be applied against completed work rather than refunded, unless we have not yet begun the project.

Warranties and no guarantees
We warrant that we will perform our services with reasonable skill and care, using appropriately experienced people. We will do everything we reasonably can to hit the goals we set together.
We do not warrant or guarantee any specific rankings, traffic levels, conversion rates, sales, or revenue outcomes. Digital marketing results depend on many factors outside our control, including search engine and advertising platform changes, market conditions, competitor activity, and your own product, pricing, and operations.
Beyond the warranties expressly written in these terms or a signed agreement, we do not give any other warranties, whether express or implied, to the fullest extent permitted by law.
Limits on our liability
Nothing in these terms limits our liability where it cannot be limited by law, for example for fraud or for personal injury caused by our negligence.
Subject to that, our total liability to you for any claim arising out of or in connection with our work, whether under contract, tort, or otherwise, is limited to the fees you have paid us in the six months before the claim arose.
We are not liable for indirect or consequential losses, such as lost profits, loss of business opportunity, loss of anticipated savings, or loss of goodwill.
Third-party platforms and tools
Much of our work involves platforms and tools owned by third parties, such as Google, Meta, TikTok, LinkedIn, Shopify, WordPress, and email service providers. These platforms have their own terms and policies. You remain responsible for complying with their terms, and we are not responsible for any account suspension, feature change, price change, or outage that a third-party platform causes.
Termination
Either of us may end our engagement at any time by giving written notice, following the notice periods described in our agreement or in the cancellation section above. Either of us may also end the engagement immediately if the other seriously or repeatedly breaches these terms and does not fix the breach within a reasonable time after being asked to.
On termination, we will hand over any completed deliverables that you have paid for, and we will invoice you for any work performed but not yet billed. Sections of these terms that are meant to survive termination, such as the ones on intellectual property, confidentiality, and liability, continue to apply.
Governing law and disputes
These terms are governed by the laws of the United Arab Emirates, and specifically by the laws of the Emirate of Dubai. Any dispute we cannot resolve informally will be dealt with by the courts of Dubai.
We would much rather resolve any concern by talking about it. If something is not right, please tell us. We take feedback seriously and we will always try to put things right.
Changes to these terms
We may update these terms from time to time. When we do, we will update the “last updated” date at the top of the page. If the change is significant and you are an active client, we will let you know directly. Your continued use of our website or services after a change means you accept the updated terms.
